Terms of Service

These terms govern the website theaisilo.com, the purchase of an AI Silo unit, and the Care subscription that supports it. They are written to be read. Please read them, because ordering a Silo means agreeing to them.

01Agreement
These Terms of Service ("Terms") are a contract between you ("you", "Customer") and TrueNorth ADI, LLC, an Oklahoma limited liability company ("TrueNorth", "we", "us"). They apply when you use theaisilo.com, submit an order, or use a Silo or Care.
If you are agreeing on behalf of a company or other organization, you represent that you have authority to bind it, and "you" means that organization. If you do not agree, do not order a Silo.
A separate written agreement signed by both parties — for example an Enterprise agreement, a statement of work, or a master services agreement — controls over these Terms to the extent it conflicts with them.
02Definitions
- Silo — an AI Silo hardware appliance (Silo, Silo Pro, Silo Max, or an Enterprise configuration) supplied by us.
- Librarian — the software we provide that curates, verifies, pins, and license-gates the model library on a Silo.
- Vault — the storage on your Silo holding models and your data.
- Care — the subscription that provides the update channel, integrity monitoring, and support, at the Standard or Priority level.
- Models — open-weight AI models and related artifacts distributed to or staged on your Silo.
03Orders and pricing
Submitting an order on the site is an offer to buy, not a completed sale. No contract of sale is formed until we accept your order in writing, which normally happens when we confirm the build and issue an invoice. We may decline or cancel any order, in whole or in part, before acceptance — for example if a unit is mispriced, unavailable, or if we cannot supply your location lawfully.
Published prices are in U.S. dollars and are for the hardware unit as configured, exclusive of taxes, duties, and shipping. Prices may change at any time before we accept your order; the price we confirm on your invoice is the price you pay for that order. Quotes are valid for 30 days unless the quote says otherwise.
Specifications, components, and finishes may be substituted for equivalent or better parts where supply requires it. We will tell you if a substitution materially changes performance or capacity.
04Payment and taxes
Unless your invoice or a signed agreement says otherwise, hardware is invoiced in full before we begin the build, and payment is due on the terms shown on the invoice. Care is billed monthly in advance. We may suspend a build, a shipment, or Care for accounts past due, after giving you notice and a reasonable chance to cure.
Prices exclude sales, use, VAT, GST, and similar taxes, plus customs duties and import fees, all of which are your responsibility except for taxes on our net income. If you are exempt, send us a valid exemption certificate before we invoice.
Card and bank payments are processed by a third-party payment processor under its own terms. We do not store your full card or bank credentials.
05Shipping, title, and risk
Delivery dates we give are good-faith estimates, not guarantees, and depend on component supply. We are not liable for delays outside our reasonable control.
Unless agreed otherwise, units ship FOB our facility: title and risk of loss pass to you when we hand the unit to the carrier. Inspect your shipment on arrival and tell us about visible transit damage within 5 business days so we can pursue the carrier claim.
You are responsible for the site where the unit will live: adequate power, ventilation within the unit's stated ambient limits, physical security, and — if you want one — a network drop. Installation beyond the standard power-on is included only if your plan or quote says so.
06Care subscription
Every Silo includes the first year of Standard Care from delivery at no additional charge. After that first year, Standard Care continues at the then-current rate unless you cancel. Priority Care is billed from delivery.
Care provides the Librarian update channel, curated new pinned model revisions, ongoing license re-evaluation, continuous integrity monitoring and alerts, and support at the response target for your level. Care does not include on-site labor, custom development, data recovery, or replacement of consumables and drives outside warranty, unless your plan or quote says so.
You may cancel Care at any time. Cancellation takes effect at the end of the current billing period, and fees already paid for that period are not pro-rated or refunded.
If Care lapses, your Silo keeps working. You continue to own the hardware and keep every model already in your vault. There is no remote kill switch and nothing is locked or deleted. What stops is the update channel, new license evaluations, monitoring alerts, and support. Reinstating Care later may require paying the current rate going forward; we do not charge back-fees for the lapsed period.
07Software and the Librarian
The Librarian and other software we supply are licensed, not sold. Subject to these Terms and payment of the amounts due, we grant you a non-exclusive, non-transferable, non-sublicensable license to run that software on the Silo it was supplied with, for your own internal business purposes, for as long as you own the unit.
You may not, except where the law says you may despite this restriction: copy the software beyond ordinary backup, sell or sublicense it, reverse engineer or decompile it, remove notices, or use it to build a competing product. Third-party and open-source components included in the software are governed by their own licenses, which are listed on the unit, and those licenses control over this section for those components.
You may transfer the unit and this license to a new owner if you notify us, transfer the whole unit and software together, and the new owner accepts these Terms. Care does not transfer automatically.
08Models and third-party licenses
Models on your Silo are created by third parties and licensed under their own terms. We do not own them and we cannot change their licenses. What we do is classify them and enforce that classification:
- Clean — permissive licenses such as MIT or Apache-2.0, staged and distributed freely.
- Restricted — community licenses or field-of-use limits, staged only with your explicit, logged attestation that you accept those terms.
- Blocked — weights we cannot lawfully distribute, refused at sync and never delivered to your vault.
You are responsible for complying with the license of every model you run, including any acceptable-use policy attached to it, and for any model you add to the vault yourself. Where you attest to a Restricted license, that attestation is yours, and you are responsible for its accuracy. Model classifications can change if an upstream license changes; we will re-evaluate under Care, but we cannot warrant that a third party will not alter its terms.
09Your data and your responsibilities
Your content stays on your Silo. We do not receive your prompts, documents, or outputs, which means we cannot recover them for you. Backups are your responsibility. Redundant storage inside a unit protects against drive failure; it is not a backup, and it does not protect against theft, fire, or deletion.
You are responsible for physical and network security of the unit, for the credentials and access you grant, and for the lawfulness of what you process on it, including any personal or regulated data you choose to put in your vault.
10Acceptable use
You may not use a Silo, the Librarian, or our website to: break the law; infringe intellectual property; develop or produce weapons, including chemical, biological, radiological, or nuclear weapons; conduct unauthorized intrusion, surveillance, or attacks on systems you do not control; generate child sexual abuse material or non-consensual intimate imagery; run targeted harassment or large-scale disinformation campaigns; or violate the license or acceptable-use policy of a model you are running.
Because your unit is yours and offline by design, we generally cannot see how you use it and we do not monitor it. That is the point of the product. It also means enforcement here rests on you. If we learn of a violation, we may suspend Care and terminate these Terms.
11Warranty
We warrant that the hardware will be free from defects in materials and workmanship under normal use for the warranty term stated on your invoice (the "Warranty Period"), and that components carry their manufacturer's warranty, which we will pass through or administer for you.
If a covered defect appears during the Warranty Period, our obligation, and your exclusive remedy, is — at our option — to repair the unit, replace it or the defective part with a new or equivalent one, or refund the amount you paid for it. Contact us first for a return authorization; unauthorized returns may be refused.
The warranty does not cover: accident, abuse, or misuse; operation outside the unit's stated power, ventilation, or ambient conditions; unauthorized modification or opening of the sealed enclosure; damage from power events, water, or transit after risk has passed to you; consumable wear; or software or models supplied by third parties.
We warrant that Care will be performed with reasonable skill and care. If it is not, tell us and we will re-perform the service.
12Returns and cancellation
- Before shipment. You may cancel an accepted order before we ship for a full refund, less any custom or non-cancellable components already committed for your build, which we will identify to you before charging.
- After delivery. You may return a standard Silo, Silo Pro, or Silo Max within 30 days of delivery for a refund of the hardware price. The unit must be complete and in original condition with its packaging, the vault wiped by you before shipping, and a return authorization from us. You pay return shipping and insurance; we may deduct a reasonable restocking fee of up to 10% for units that show wear, and the full cost of missing or damaged items.
- Enterprise and custom builds. Configurations built to your specification are non-returnable except under warranty.
- Care. Cancel at any time, effective at the end of the current billing period, without pro-rated refund.
- Refunds are issued to the original payment method within 14 days of our receiving and inspecting the returned unit.
13Disclaimers
Except for the express warranties in section 11, everything is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent the law allows.
AI models produce probabilistic output that can be wrong, biased, or fabricated. Output from a Silo is not legal, medical, financial, engineering, or other professional advice, and it must not be relied on as the sole basis for a decision with legal, financial, safety, or health consequences. You are responsible for human review appropriate to your use. A Silo is not designed or certified for use in life-support, emergency response, aircraft, nuclear, or other applications where failure could cause death, injury, or severe environmental harm.
Integrity verification means we prove that files in your vault match the exact cryptographic hashes you pinned. It is a guarantee about bytes, not about truthfulness of what a model says. We do not warrant uninterrupted or error-free operation.
14Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, even if advised such damages were possible.
Our total aggregate liability arising out of or relating to these Terms, a Silo, or Care, whether in contract, tort, or otherwise, will not exceed the amounts you paid us for the unit and for Care in the 12 months before the event giving rise to the claim.
These limits do not apply to your obligation to pay amounts due, to either party's liability for fraud, willful misconduct, or death or personal injury caused by negligence, or to anything else that cannot be limited under applicable law. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
15Indemnity
You will defend and indemnify TrueNorth against third-party claims, and pay resulting damages and reasonable legal costs, arising from your use of a Silo in violation of section 10, your breach of a model license or a Restricted-license attestation you made, your data or content, or your violation of law. We will notify you of the claim, let you control the defense of it, and cooperate reasonably at your expense.
16Export and sanctions
Hardware, software, and models may be subject to U.S. export control and sanctions law. You represent that you are not located in, and will not export or re-export any part of the product to, a country or party subject to a U.S. embargo or on a restricted-party list, and that you will not use the product for any purpose prohibited by those laws, including prohibited weapons development. We may refuse or cancel any order to comply with these rules.
17Intellectual property
The AI Silo name, the Silo mark, the site design, the site content, and the Librarian software are owned by TrueNorth ADI, LLC or its licensors and are protected by intellectual property law. Nothing here transfers ownership of them to you. If you send us feedback or suggestions, we may use them without obligation or compensation.
18Term and termination
These Terms apply from the earlier of your first use of the site or your first order, and continue while you own a Silo or hold a Care subscription. Either party may terminate for a material breach the other has not cured within 30 days of written notice. On termination, you keep the hardware and the models already in your vault; the software license continues for that unit unless we terminated for your breach of section 7 or section 10, in which case it ends. Sections 8, 9, 13, 14, 15, 16, 17, 19, and 20 survive.
19Governing law and disputes
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
Before filing anything, the parties will try in good faith to resolve a dispute informally for 30 days after written notice describing it. If that fails, the state and federal courts located in Oklahoma County, Oklahoma have exclusive jurisdiction, and both parties consent to venue there. Either party may still seek injunctive relief in any court to protect intellectual property or confidential information. Nothing here prevents a consumer from bringing a claim in small-claims court or takes away a right that cannot be waived under the law of your place of residence.
20General
These Terms, your invoice, and any signed agreement are the entire agreement between us on this subject and replace prior discussions. If a provision is held unenforceable, the rest stays in force. A failure to enforce a right is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to a successor in a merger or sale of the business. Neither party is liable for delay or failure caused by events outside its reasonable control. There are no third-party beneficiaries. Notices to us go to info@truenorthadi.com; notices to you go to the email address on your order.
We may update these Terms. Changes apply to orders placed after the new effective date, and to Care from the start of your next billing period. Material changes will be posted here and, where they affect you, sent to your email.
